Hot Topics in Bankruptcy Treatment of Licenses

Bankruptcy is a world unto itself, where anti-assignment clauses take on new meaning and technology transfers come under scrutiny by untrained eyes. One of the most important tasks a licensing professional undertakes is predicting and protecting against the potential insolvency of the parties to the license.

This "hot topics" presentation will address some of the recent issues addressed by bankruptcy courts, such as:

  • Can a reorganization plan separate the right to sue for infringement from an underlying patent?
  • What does a licensee need in a license to have the right to retain rights through a bankruptcy case?
  • Can a debtor use its bankruptcy to "back door" a license assignment?
  • What good is an "ipso facto" clause and why should I still use one?
  • When a debtor sells IP, does the right to receive royalties from prior licenses always follow the IP?
Along the way, the speaker will suggest strategies to employ while drafting license agreements.

Speaker
Warren E. Agin is a partner at the law firm of Swiggart & Agin, LLC where he concentrates his practice on technology issues and insolvency. Author of Bankruptcy and Secured Lending in Cyberspace (West publication in 2005) and editor of The Best in E-Commerce (Bowne, 2000), Mr. Agin currently chairs the American Bar Association's E-commerce and Insolvency Subcommittee and the Boston Bar Association's Computer and Internet Law Committee. Mr. Agin is the author of numerous legal articles on the topics of technology, Internet law and bankruptcy law, and frequently lectures on those topics to groups such as the American Bar Association, Boston Bar Association, Practicing Law Institute and MCLE. An active member of the American Bar Association, Warren has served a key role in helping the ABA develop positions regarding the impact of technology on bankruptcy law.
