Background:
John will review the best and worst of indemnity clauses
in this presentation. Indemnity clauses are often dismissed as generic "boilerplate"
language. Technology licensees and licensors are well advised to review these
clauses carefully when negotiating licenses, and weed-out "dreadful drafting"
from precedents and license templates. This presentation will provide practical
tips on the do's and don't of drafting indemnity clauses.
