Program: Secure Your Software Investment through Source Code Escrow
Corporations and government agencies spend more than $140 billion on software projects each year. Buggy software costs the U.S. economy nearly $60 billion a year. Morgan Stanley recently estimated that as much as 53% of capital spending of US corporations was on technology. As software is represents a major investment for nearly all businesses, what risk does a company run by not having access to the source code of the software it has licensed?
In this presentation, Bea Wray will review the legal ins and outs of software escrow, including critical clauses, applications, pitfalls, and processes of software escrow in the United States and abroad. Software escrow is an agreement whereby a trusted third party holds source code in escrow on behalf of the licensee. In the event the developer defaults on support or goes out of business, the licensee could access the source code for maintenance and or debugging, which in turn minimizes both down time and the resulting costs associated with large scale business interruptions.

Bea Strickland Wray - CEO, SourceHarbor, Inc.
Bea Strickland Wray is the CEO of SourceHarbor, Inc. which specializes in software escrow. SourceHarbor is the trusted party that maintains access to the source code as intellectual property protection for software developers and insurance for software licensees. Bea has been a leader in this industry since 1990 working with thousands of escrow transactions. SourceHarbor currently serves clients nationwide from offices in Hilton Head, SC, Washington, DC, and San Francisco, CA.
Prior to SourceHarbor, Bea worked for Siemens Business Services in Munich where she was instrumental in establishing their venture capital group.
Bea graduated Summa Cum Laude with a Bachelor of Arts in Political Science and Psychology from Emory University and holds a Masters of Business Administration with Distinction from the Harvard Business School.
Bea is a frequent speaker and contributor to leading trade journals on the subjects of software licensing, source code escrow, technology assessment and intellectual property protection. Her audiences include the Business Journal of Savannah, Contracts Management Magazine, and Dr. Dobb’s Journal.
