) and President, The Licensing Foundation (of LES US/Canada) as the speaker for our Third Annual Kick-off event.
Topic: "Licensing
Opportunity Discovery, and Licensing D-V-D"
It is often said, there exists but three essential business processes behind any company:
- Getting a customer (sales/marketing),
- Delivering product to a customer (manufacturing/production), and
- Creating new products (R&D).
Everything else, however important, is just not as important.
In licensing, we can think of a parallel proposition as represented by D-V-D:
- Discovery
(opportunity recognition/creation)
- Valuation
(and pricing, putting a measured priority on discovered opportunities)
- Dealmaking
(finding ideal customers, and crafting one-of-a-kind transactions)
And, which, corresponds in certain ways to the famous war maxim: Ready (Discovery), Aim (Valuation), Fire (Dealmaking).
In this talk, we will briefly consider the overall Licensing D-V-D process, review certain methods/tools of Valuation, and the business process of Dealmaking, and then focus our thinking on that often-ignored first step: Discovery.
One of the basic challenges of licensing opportunity Discovery is, like any innately creative process, defining a process, or traits, or guidance of any kind, that will make it happen as we might do for creating a Valuation financial model or a Dealmaking readiness plan.
We will use as an illustration the transformation of the “telecommunication industry” over the past 20 years, a period corresponding to the legal life of a patent, into the profusion of products and capabilities that define 2006. Licensing Discovery is, in many ways, a mimesis of R&D/innovation, and experiences its thrills and agonies.
We will end with looking at some of the myths and Demotivations/Despair* of opportunity Discovery.

Dr.
Razgaitis is a Senior Advisor at CRAI (formerly InteCap, IPC Group).
He has 40 years of experience working with the development, commercialization,
and management of technology, more than 25 of which has been in the commercialization
of IP. He has engaged in licensing-in and licensing-out of numerous
technologies, including materials, manufacturing systems, medical products,
diagnostics / instrumentation, software, and communications products. He
has negotiated numerous commercialization agreements with clients in the
U.S., Europe and the Far East ranging from Fortune 500 to small start-up
companies. In addition, Dr. Razgaitis has written three books on technology
valuation and dealmaking/negotiation.

Dr. Razgaitis began his career as a “rocket scientist” on
the Apollo lunar program. As a member of the founding Cape Kennedy launch team,
he had the responsibility of loading the fuel that
sent the first men to the moon (Apollo 8) and participated in the launch of
all the Apollo spacecraft up and including the first lunar landing (Apollo
11). Later, he was a university professor of mechanical engineering for 10
years. For nearly 20 years he worked with two world-renown R&D organizations,
Battelle and Bellcore (now Telcordia), for 10 of those years as Vice President
of commercial development / licensing. During the past eight years with CRAI
and its predecessors, he has been retained on more than 100 engagements providing
analysis and recommendations on licensing strategy and opportunity discovery,
valuation, market and dealmaking for a broad range of technology and market
opportunities.
He is the author of three books on valuation and dealmaking: Early
Stage Technologies: Valuation and Pricing (Wiley, 1999; Pricing
and Valuation of Technology-Based Intellectual Property (Wiley, 2003); Dealmaking—Negotiation
using Real Options and Monte Carlo Analysis (Wiley 2003). He has
also authored 2 book chapters: “Technology Valuation,” published
in The LESI Guide to Licensing Best Practices: Strategic Issues
and Contemporary Realities (Wiley, 2002); AUTM Technology Transfer
Practice Manual,: “Pricing the Intellectual Property Rights to
Early-Stage Technologies: A Primer of Basic Tools,” (Vol. 2, AUTM,
2003).

Activities

A
long time Trustee of LES, he is presently on the Board and President of the Licensing
Foundation. He speaks frequently on the commercialization of technology,
valuation and pricing of technology and licensing strategy. He has taught segments
of licensing courses sponsored both by LES and AUTM. For more than 10 years,
he has taught technology valuation and pricing courses for AUTM to more than
2,000 students.
Dr. Razgaitis has been a registered Professional Engineer in Texas, Oregon
and Ohio, and the holder of four U.S. patents. He was a Board Member
of the National Inventors Hall of Fame Foundation (2001-2004) where he participated
in the selection and induction of more than 50 honored inventors, including
the centennial year of 2003 honoring inventors who pioneered aviation.
