On behalf of the Minnesota Chapter of the Licensing Executives Society, I would like invite you to our December 13 luncheon meeting for a review
of:
M&A due diligence: What do you need to know?
As a potential buyer of a company or assets of a company, what should you be looking at when considering the acquisition? What information should you have that may be very important to your valuation of the target? What information may in fact cause you to drop your interest in the target altogether? Things to consider generally include the target's products, IP portfolio, agreements including development, license and supply agreements, litigation including IP, commercial, product liability litigation, and competitive threats to the business. Specific concerns that may be uncovered relate to non-transferability of or uncomfortable provisions in key agreements, concerns about supply of raw materials, or offensive or defensive litigation raising basic questions about the value of the target.
Processes and tools that can increase your effectiveness in due diligence will also be discussed. Legal and IP aspects of due diligence will be emphasized.
Our presenter is Robert Sprague, Assistant Chief Intellectual Property Counsel at 3M Innovative Properties Company. Bob has significant M&A and other transactional experience, particularly in the health care field.
