The Minnesota Chapter of the Licensing Executives Society invites you and your colleagues to our December monthly meeting. At this meeting we will be treated to three presentations on Joint Development Agreements.

The Contract:
Joint Development Agreements were identified as difficult from a number of perspectives. The contract itself encompasses a lot of provisions that require significant thought on how you are going to work together, who is going to produce the product, how the work is distributed, and various warranties and indemnification provisions. Many times the allocation of IP rights takes a lot of time to negotiate because the IP that is generated becomes very important to both parties. David Biek has had a lot of experience in putting together JDAs and will present a summary based on his wide experience in this area.
The Negotiation:
3M has conducted a significant number of Joint Development Agreements in healthcare and quite a few have come from thepharmaceutical area. Using Six Sigma methodology, a system for negotiating JDAs faster was implemented. Sharon Grosh has negotiated several JDAs and will provide some insights regarding the use of a negotiation tool kit for improving this complex type of negotiation.
Alliance Management:
A lot of work is required to put together a JDA resulting in a significant number of negotiated terms. Several studies have shown that JDAs are often not successful because of a failure to successfully manage the relationship and respective contractual obligations. 3M Pharmaceuticals has developed a variety of alliances. Bridget Hage will present an approach that was taken to ensure that their alliances were managed for success.
