PRESENTATION:
"Spinning Out A Star" - (How to beat the odds and avoid the spin-out traps!)
Many R&D projects have the potential to be valuable ventures when they no longer fit into current company strategies and become non-core projects. By packaging them as stand-alone entities and spinning them out, the parent company can fine-tune finances while creating the potential for a cash windfall should the new business one day go public. That's the theory, but in reality, it's tough to make a spin-out successful.

Our speaker will discuss the birth of a spin-out from conception to gestation to separation. He will emphasize the main reasons for failure and the four major spin-out traps that doom them from the start, and how to avoid them. He will use as a case study the pharmaceutical company, Targacept, the highly successful spin-out of the R.J. Reynolds Tobacco Company, which he spearheaded. As he will illustrate, parent companies need to give their offspring the right amount of attention and care, but also need to know how and when to set them loose. Learn to do that well, as RJR discovered, and both parent and child stand to reap handsome rewards.

SPEAKER:
Jeffrey D. Wager, MD, MBA - In 1995, Dr. Wager founded, and has since managed, CPP Advisors LLC, a strategic financial advisory firm which specializes in designing, executing and financing corporate spin-outs and other high value-added transactions exclusively in the life science field. From 1995-2000, Dr. Wager was with Medical Science Partners (MSP), a Harvard-affiliated venture capital fund, where he co-managed its portfolio and provided many MSP portfolio companies with analysis and advice on strategy and corporate development. From 1991-1995, Dr. Wager headed up business development for a $1.4 billion trading company affiliate of the Bank of Tokyo.

Dr. Wager completed his pre-med studies at the University of Illinois, received his medical degree from Rush Medical College in Chicago, and an MBA from the University of Chicago. Dr. Wager is a member of the boards of directors of QED Solutions, Inc., Genesis Therapeutics, Inc. and Kinetic Biosystems, Inc.
