SUMMARY:
Mr. Murphy’s presentation will provide an overview from the perspective of a major pharmaceutical company working to establish a contractual relationship with a small biopharmaceutical company. The presentation will focus on the three main phases of the deal: preparation, negotiation, and “living with” the deal. In addition, Mr. Murphy will discuss:
- Legal due diligence leading up to the decision to enter into a strategic alliance;
- Difficult issues in the negotiation process and how they might be resolved; and
- Drafting considerations for unplanned occurrences.
The principles discussed here could be applied to many types of licensing situations.
Richard B. Murphy is Schering-Plough’s Director of Research Licensing for Schering-Plough Corporation where he is involved in the negotiation and drafting of a wide variety of contracts for Schering-Plough’s discovery, research and development operations. Mr. Murphy began his career at Schering-Plough as the Chief Counsel of Canji, Inc., a subsidiary focused on gene therapy and gene delivery technologies. In addition to his licensing responsibilities, he continues to oversee the gene delivery intellectual property for Schering-Plough. At Schering-Plough, he has been involved in major strategic alliances with Exelixis, Inc., LifeSpan, Transgene S.A., Immune Response Corporation, Targeted Genetics Corporation, Sennes Drug Innovations, Inc., BioVector Therapeutics, Inc., Insert Therapeutics, Inc. and Triad Therapeutics, Inc.
