"THE ART OF QUALITATIVE VALUATION"

This meeting will be held on

Tuesday, April 15, 2008
6:00-8:00 p.m.

THE APRIL MEETING WILL BE HELD AT THE HILTON LA JOLLA TORREY PINES

PANELISTS:
Trever Acers, Managing Partner, Passage Venture Partners
H. Casey Logan, Senior Director Corporate Development, Anadys Pharmaceuticals, Inc.
Marilyn Ferrari, Director of Business Development, Vical Inc.
Rob Cogan, Partner, The Nath Law Group (moderator)

PROGRAM DESCRIPTION:
There is an art to justifying how much can prudently be invested in a deal. Quantitative valuation of an asset must be viewed in light of the actual and potential consequences of the deal. Acquisition or licensing of the same company, product line or technology generally results in different consequences for different acquirers. Therefore, value depends on the acquirer as well as the quantitative value of the asset. Quantitative valuation is essential for many purposes, such as establishing the book value of a company or the financial liability of an entrepreneur who is getting divorced. However quantitative value of an asset does not describe the possible or likely financial consequences of using an asset under a particular set of circumstances in a particular context.

The panel will look at the art used in qualitative valuation in both tech and life sciences. We will consider how a capital provider weighs how much of an investment might be justified, how to factor in the risks inherent in investing a drug at each of various stages of drug development and how the various types of commitment that must be made to exploit an asset affect its initial value at acquisition.
