The Bill & Melinda Gates Foundation currently provides approximately
$800,000,000 in annual funding (primarily through grants) to address health
issues that have a disproportionate impact on the developing world. By
2009, this annual funding will increase to $1.6 Billion. The majority
of these funds are applied to the creation of new health products such as
drugs, vaccines, medical devices, platform technologies, agricultural crops,
nutritional supplements and others. Although grants are made primarily
to universities and non-profit organizations, the project research often involves
for-profit companies (either as collaborators or licensees of technology) – and
often result in a handoff of the underlying product to a for-profit company
to complete the development process and achieve commercialization. To
accomplish its long-term charitable objectives, yet attract for-profit companies
and create economically sustainable health solutions, the foundation must
work with its grantees (and collaborators) to structure licensing strategies
and agreements that aim to balance the needs and objectives of all parties
involved. We will discuss the foundation’s expectations regarding
the ownership and licensing of funded technologies, and explore various licensing
strategies and agreements that have been used.
Erik H. Iverson, JD, LLM, is an Associate General Counsel
at the Bill & Melinda Gates Foundation, working exclusively within the
Foundation’s Global Health Program to assist in the review of grant
proposals to evaluate the potential intellectual property, operational and
product maturation concerns. He works closely with Foundation staff
and grantees in the development of intellectual property management plans,
collaboration agreements and “global access” strategies with
respect to the intended health solutions that are being funded by the Foundation. Prior
to joining the Foundation, he was an attorney at the law firm of Perkins
Coie LLP representing biotechnology companies in licensing, joint venture,
research collaboration, and manufacturing transactions.
