"Governing Law and Jurisdiction Clauses in International Licensing Agreements: What You Don't Know Can Hurt You"

Merely "boilerplate" to some, and confusing to others, the "Governing Law" and "Jurisdiction" clauses are negotiated with deadly seriousness by savvy licensors and licensees, and by those who have been once burned.
What exactly are these clauses and why are they so important in an international licensing setting? What are the Do's and Don'ts? What are the "standards"? the options? the pitfalls? In addressing these questions, and others, Elo Tulving-Blais will provide useful pointers in her presentation. She will draw on examples from her own practice and experience.
Elo Tulving-Blais is an international lawyer at Aylesworth, Thompson, Phelan, O'Brien, LLP. She graduated with civil law and common law degrees from McGill; she is the current Editor-in-Chief of the law journal Canadian International Lawyer, and a former Chair of the Ontario Bar Association's International Law Section. Assisting technology and IP clients with negotiating, drafting and advising on licensing contracts in the global arena, her practical experience extends from the U.S., to Europe, the Middle East, South America, to China and beyond.
