The LES Toronto Chapter cordially invites you to the following seminar:

DATE: Thursday, November 24, 2005

TIME: 12:15 p.m.

LOCATION:
McCarthy Tétrault LLP
Suite 4700, 47th Floor, Main Dining Room Toronto Dominion Bank Tower Toronto ON M5K 1E6

TITLE: " Gerdau - Ameristeel Corp.: Technology Transfer in Mergers and Acquisitions"

SPEAKERS: Ricardo Anawate and Glen Beeby. Gerdau-Ameristeel Corp.

HOST: Chris. Ostrovski, Technology Partners International Inc.

Gerdau Ameristeel Corp. is the North American arm of Brazilian steelmaker Gerdau S.A. and is publicly traded on both the Toronto and New York Stock Exchanges. Gerdau Ameristeel is the second largest minimill steel producer in North America, and the 12th largest steelmaker in the world. Through its vertically integrated network of 15 steel mills (including one 50%-owned), 16 scrap recycling facilities and 42 downstream operations, it has an annual manufacturing capacity of over 8.4 million tons of mill finished steel products.

The Company's products are generally sold to steel service centers, steel fabricators, or directly to original equipment manufacturers (or "OEMs") for use in a variety of industries, including construction, automotive, mining, cellular and electrical transmission, metal building manufacturing and equipment manufacturing.

The nature of Gerdau Ameristeel's business naturally lends itself to numerous technology transfer and merger and acquisition situations that would be of interest to LES members, including tips on doing business in South America. The LES Toronto Chapter is pleased to play host to Ricardo Anawate and Glen Beeby, in-house technology and business development professionals at Gerdau-Ameristeel who will provide invaluable insight on this topic.

COST: $25.00. Includes a light lunch. Payable at the door.
