Strategies for Commercializing IP
There are many more strategic options for the IP licensing executive than
just straight IP licensing between product manufacturers. This add-on will
focus on key emerging areas of IP commercialization and transactions. Some
of these emerging transactions include IP sale/acquisition (brokering),
IP auction, IP pooling, IP licensing by patent licensing and enforcement companies,
and IP-driven M&A and "patent pure-play" private equity investments The
add-on will include a speaker on each of the aforementioned topics. More specifically,
Brian Oliver will speak on the patent acquisitions, Mike Lasinski will speak
on the results of Ocean Tomo’s first two live patent auctions, Larry
Goldstein will speak on patent pooling, Dooyong Lee will speak on licensing
and patent enforcement, Ron Laurie will speak on IP/technology development
corporate spin-outs, and Steven Weiner will speak on "patent pure-play" private
equity investments. Each speaker will talk about both the processes
that their companies employ as well provide examples of recent transactions
or deals. The session will be a combination of lecture, question & answer,
and solicitation of audience participation. In addition to the specific topics
mentioned above, the speakers and audience are expected to provide insights

UNIVERSITY AND GOVERNMENT LABORATORY TRANSACTIONS

Critical Issues in Research Agreements
In an effort to increase R&D productivity,
industries are increasingly seeking to establish research partnerships with
university and government laboratories. Such partnerships provide industry
with access to the considerable expertise held by academic and government researchers,
and to any resulting intellectual property, while providing researchers with
access to crucial funding. While such relationships can, and should, represent
a win-win for all parties, it is first necessary to draft an agreement that
effectively addresses the interests and goals of each party – a task
that often proves quite daunting. Crafting a mutually acceptable agreement
that results in a sustainable, ongoing relationship is made even more challenging
by recent legislation that has changed U.S. patent law and export regulations.
This seminar will serve to identify critical issues and obstacles which must
be effectively addressed in establishing a mutually beneficial research partnership.
Guidelines for effectively addressing these will be discussed, with the goal
of providing attendees with valuable insights and tools for use in crafting
successful and ongoing partnerships.
Industry, university and government representatives
will set the scene by discussing various critical issues, including: a) key
goals of each party in a research partnership; b) nonnegotiable, “bottom-line” positions
of each party; c) obstacles often encountered, and effective strategies to
overcome these obstacles; d) criteria for measuring the success of the negotiation
and the resulting relationship; and e) resolving points of difference as the
relationship evolves.
The discussion will then focus on two key legal issues:
a) the CREATE Act of 2003, and b) the recent tightening and reinterpretation
of Export Controls regulations. An expert panel will provide an overview of
both issues and identify corresponding non-negotiables that must be addressed
by the parties in the drafting of the research agreement. The panel will offer
strategies for proactively identifying and resolving potential pitfalls, and
for proactively managing key issues of concern. This session will be both informative
and interactive, providing attendees with the opportunity to pose questions
and to discuss key areas of concern.
